Why Wyoming

Why a Wyoming LLC suits non-residents

A Wyoming LLC keeps fixed costs low and your name off the public record, which is exactly what a non-resident solo founder usually wants from a first US entity.

Low, predictable cost

Wyoming charges roughly $60 per year for the annual report. There is no state income tax and no franchise tax, so a quiet year costs almost nothing to maintain. That is a meaningful gap versus Delaware's flat $400 annual tax for LLCs.

Strong member privacy

Wyoming does not list LLC members in its routine public filings. As a non-resident you can run the company without your personal name appearing on the public record, which is a common reason founders pick Wyoming over other states.

Setup as a non-resident

Forming a Wyoming LLC without an SSN

You do not need to be a US citizen or resident, you do not need an SSN or ITIN, and you do not need to travel to the US. The whole Wyoming LLC setup is done remotely.

1. File the LLC

We check the name, prepare the Articles of Organization, and file with Wyoming. A registered agent is included, satisfying the state's in-state address requirement.

2. Get your EIN

As a non-resident you cannot apply online. We submit IRS Form SS-4 by fax and track it to the CP575 confirmation letter. See the EIN guide for non-residents.

3. Open US banking

With formation documents and an EIN you can apply remotely to Mercury, Relay, or Wise Business. Our banking guide covers the details.

Taxes and compliance

What a Wyoming LLC owner files each year

A single-member Wyoming LLC owned by a non-resident is treated as a pass-through (disregarded) entity for US federal tax. It still has a federal reporting duty: every year you file Form 5472 together with a pro-forma Form 1120 to the IRS. On the state side, the only recurring item is the ~$60 annual report and your registered-agent renewal, both tracked in your compliance calendar.

Wyoming vs Delaware

Wyoming or Delaware?
