Six-month extensions are available and we file them free if you engage us before the deadline. Miss a 5472 entirely and the penalty is $25,000, whatever your income.

Will I actually owe anything?

Almost certainly not, if you are the usual case: living outside the United States, doing the work there, billing clients wherever they happen to be. US tax follows where the work is performed, not where the customer sits — so that income is not US-sourced and nothing is due. The return is a report, not a bill.

Four things change that answer, and they are worth checking honestly:

  • You registered in the wrong state. California charges every LLC $800 a year for existing; New York adds publication costs.
  • You have a footprint in America. An office, stock in a warehouse, staff on a W-2, or anyone stateside who can sign contracts for you.
  • An American owns part of it. One citizen or Green Card holder changes the rules for the whole company.
  • The money is American, not the work. Royalties, ad revenue, interest, dividends and rent from US sources are withheld at the border wherever you live.

Whichever applies, we will tell you before you pay us anything — and if your case genuinely needs a specialist rather than us, we will say so.

Owing nothing in America does not mean owing nothing anywhere: the profit is your personal income and is taxable where you live. Keep a local accountant for that side.

Dates are for calendar-year filers. Form 7004 grants an automatic six-month extension to file — it does not extend the time to pay.

  • Form 5472 — reports transactions between a foreign-owned LLC and its owner. $25,000 penalty if missed. Paper filing only.
  • Pro-forma Form 1120 — the near-blank corporate return that Form 5472 must be attached to.
  • Form 1065 · Schedule K-1 · Schedules K-2 / K-3 — partnership return, plus a K-1 for every member and K-2/K-3 for international items.
  • Forms 8804 / 8805 — section 1446 withholding where a partnership has foreign partners.
  • Form 1120 — the real corporate return for a C-Corporation.
  • Form 7004 — automatic six-month extension for the 1120, 1065 and 5472.
  • Form 1040-NR — your personal non-resident return, when you have one.
  • BOI report (FinCEN) — beneficial ownership information reporting.
